    ISS is seeking a Research Associate to join our Corporate Governance team as a corporate governance analyst with a specialized focus on M&A transactions and related issues based in Toronto, Ontario, Canada.  This is a unique opportunity to join our leading Corporate Governance Research team and can lead to a career path towards a Senior Research Lead or other managerial role in an exciting multi-faceted and growing company.


    • Complete basic and advanced analytical governance research of particular annual and special shareholder meetings, managing workload to maintain timeliness of client SLA deliverables
    • Distill financial and corporate governance information and issue proxy vote recommendations based on ISS' Canadian market specific policy guidelines
    • Contribute to providing answers to internal/external client/issuer queries on M&A issues and research reports and/or voting recommendations and be able to discuss corporate governance principles, M&A related transactions and policy issues as required
    • Complete/contribute to market specific or client requested reports and/or policy related projects
    • Participate in team projects and conduct research to assist in policy formulation and support and educate internal analysts on M&A issues
    • Maintain reference documents and data on M&A transactions in Canada
    • Identify opportunities to enhance the department's service offering
    • Demonstrate well-developed understanding of shareholder/corporate governance issues including Canadian M&A environment, gathered through fundamental research and contact with company executives and/or institutional investors
    • Use expertise to provide support to sales and account management teams to enhance client service experience
    • Monitor and assess the compliance of regional SAS-70 audits as implemented by regional team leadership
    • Work with Corporate Technology to develop, enhance and test current and new applications that will benefit our clients, the research offering, and the company as a whole
    • Identify process improvement opportunities and help formulate standards for analysis of M&A transactions in Canada
    • Contribute to working committees and/or projects
    • Review other analysts’ research related work


    • Bachelor´s degree in Finance, Economics, Business and a minimum of 2 years of full-time employment experience in financial analysis or 3 years of experience in corporate governance/investment analysis and research with a focus on M&A
    • Demonstrated understanding or competency in corporate governance issues, corporate transactions and capital markets, corporate law, and/or securities regulation
    • Strong time management skills
    • Ability to work effectively with clients, colleagues at various staff and management levels across staff and function lines
    • Excellent writing and research abilities; proofreading skills and attention to detail; and well-developed communication skills, both oral and written
    • Good understanding of business technology; experience working with technology in an operational context strongly desired
    • Strong computer literacy with previous experience and excellent knowledge of MS Office and proficiency in use of Bloomberg. Knowledge of SQL a plus.
